Terms of service

These terms cover imverde.com and the Verde service. If your club has signed a Verde OS Service Agreement, that agreement comes first and these terms fill the gaps around it.

1. What these terms cover

Verde is operated by Verde Technologies LLC. In these terms, Verde, we and us mean Verde Technologies LLC. You and your club mean the organization using the service, and anyone using it on that organization's behalf.

These terms apply to this website and to the Verde service. By creating an account, signing in, or using Verde at your club, you agree to them.

If your club has a signed agreement, it wins. Clubs that sign a Verde OS Service Agreement are governed by that document. Where it and these terms disagree, the signed agreement controls, and these terms cover only what it does not address.

2. The service

Verde is club management software. Depending on your plan it can include the tee sheet, court booking, leagues and events, point of sale, member accounts, reporting, your public club website and the member app.

We build on the service continuously. Features get added, improved and occasionally retired. We will not remove a feature your plan depends on without telling you first and giving you a reasonable window to adjust.

3. Accounts and staff access

Your club controls who has an account and what each person can do. Verde plans include unlimited staff accounts, so there is never a reason to share one.

Your club is responsible for activity under its accounts, including staff PINs used at the register. If a staff member leaves, remove or disable their access. If you believe an account or PIN has been compromised, tell us and change it immediately.

We may refuse, suspend or remove an individual account where we reasonably believe it is being used to break these terms or the law.

4. Your club's data

Your data is yours. Member records, bookings, sales history, reporting and everything else your club puts into Verde belongs to your club. We do not sell it, and we do not use it to advertise to your members.

We process that data to run the service for you, to support you when you ask, and to keep the platform secure and working. We may use aggregated, de-identified information that does not identify your club, your members or any individual to improve the service.

5. Members and the member app

Your members interact with Verde through your club's booking pages and the member app. Your club decides what those members can see and do, sets booking windows and tiers, and is responsible for the accuracy of the member information it enters.

Your relationship with your members is yours. Club rules, dues, cancellation policies and member disputes are between your club and its members. Verde is the software the club runs them on.

6. Payments and card processing

Verde processes card payments through a third-party payment processor. Your club, not Verde, is the merchant of record for every sale it takes. Verde is not a bank and is not a money transmitter.

To take card payments you will need to complete the processor's onboarding and agree to its terms directly. Payout timing, holds, reserves and account reviews are governed by that agreement, not this one.

Chargebacks, refunds and disputed transactions are your club's responsibility, including any fees the processor charges for them. We will give you the records we hold to help you respond to a dispute.

Member account charges are not card payments. When a member charges to their account, Verde records a debt the member owes your club. Collecting it is up to your club.

7. Verde hardware

Taking card payments requires Verde hardware — Verde Driver at the counter, Verde Carry away from it, and the customer display. Everything else in Verde runs in a browser on a computer you already own.

Hardware supplied as part of a plan remains our property unless your order says otherwise, and is provided for use with the service. If your subscription ends, return supplied hardware in working order within thirty days. Purchased hardware is yours.

We will replace hardware that fails in normal use. We are not able to replace hardware lost, stolen, or damaged by mishandling, liquid or power faults, though we can sell you a replacement.

Do not modify Verde devices, install other software on them, or use them with another payment platform.

8. Fees and billing

Plan prices are shown on the pricing page. Paid plans bill monthly in advance unless your order says otherwise. Fees are stated in US dollars and exclude taxes, which we add where we are required to collect them.

Card processing fees are separate from your plan fee and are set by the payment processor.

If a payment fails we will tell you and try again. If an account stays unpaid for thirty days we may suspend it. We do not delete club data on suspension — see section 14.

We may change plan pricing with at least sixty days' notice before it takes effect for you. If you do not want the new price, you can cancel before it applies.

9. Founding Partner terms

Founding Partners are the first group of clubs to run Verde. A Founding Partner receives the first twelve months of its plan at no charge, starting the day the club goes live rather than the day it signs.

Card processing fees still apply during the free year, because they are the processor's, not ours. Hardware is billed separately where your order says so.

At the end of the twelve months the plan renews at the price in your order. We will tell you at least thirty days before that happens, and you can cancel at any point before it does and take your data with you.

Founding Partner status is granted to a club, not to a person, and is not transferable to another club. We ask Founding Partners for honest feedback and occasional input on what gets built next. Giving it is genuinely useful but is not a condition of the free year.

10. Acceptable use

Do not use Verde to:

  • break the law, or help someone else break it
  • store or send card numbers, Social Security numbers or similar identifiers in free-text fields such as booking notes
  • send marketing to your members that they have not agreed to receive, or that does not let them opt out
  • probe, scan or test the security of the service, or try to reach data belonging to another club
  • scrape the service, resell access to it, or use it to build a competing product
  • upload malware, or deliberately overload or interfere with the service

11. Availability and support

We work to keep Verde available whenever your club is open, and we treat anything that stops you taking a booking or a payment as the most urgent class of problem there is.

We do not currently offer a contractual uptime guarantee. We will be straight with you about that rather than promise a number we have not yet earned the operating history to stand behind. Planned maintenance is scheduled outside peak hours wherever we can and announced in advance.

12. Intellectual property

Verde, including the software, its design, and the Verde name and marks, belongs to us. These terms give your club a non-exclusive, non-transferable right to use the service while your subscription is active, and nothing more.

Your club's name, logo and content stay yours. You give us permission to display them where the service requires it — on your club website, your booking pages and your member app.

If you send us feedback or a feature idea, we can use it without owing you anything for it. We think that is the fair trade for building in the open with our earliest clubs.

13. Confidentiality

Each of us may learn things about the other that are not public — your club's numbers, our pricing and roadmap. Neither of us will share the other's confidential information except with people who need it to do this work, or where the law requires it.

This does not cover information that is already public, that either of us already had, or that either of us works out independently.

14. Term, suspension and termination

These terms run for as long as your club uses Verde.

You can cancel at any time. Cancellation takes effect at the end of your current billing month, and we do not pro-rate a partial month.

We may suspend an account for non-payment after thirty days, or immediately where use of the service is causing harm, is unlawful, or breaks section 10. We will tell you why, and we will restore access once the cause is resolved.

Your data on the way out. For thirty days after your account closes, your club can export its data. During a suspension your data is untouched. After the thirty-day export window we delete club data on our normal cycle, other than records we are required to keep — see the privacy policy.

15. Disclaimers

Verde is provided as is. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be uninterrupted or error free, or that it will meet every requirement your club has. Verde is a tool your staff uses, not a substitute for your club's own judgment about its operations, its finances or its obligations.

16. Limitation of liability

Neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost goodwill, even if warned they were possible.

Our total liability arising out of the service is limited to the greater of the fees your club paid us in the twelve months before the claim, or one thousand dollars.

None of this limits liability that cannot be limited by law, including for fraud.

17. Indemnification

Your club will defend and indemnify us against claims arising from your club's use of the service in breach of these terms, from content your club puts into Verde, and from your club's relationship with its own members.

We will defend and indemnify your club against a claim that the Verde software itself infringes someone's intellectual property rights.

18. Changes to these terms

We will update these terms as Verde changes. When we make a material change we will update the date at the top of this page and tell account administrators by email at least thirty days before it takes effect.

If you keep using Verde after a change takes effect, the new terms apply. If you do not accept them, you can cancel before they do.

19. Governing law

These terms are governed by the laws of the State of Nebraska, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Douglas County, Nebraska, and both of us agree to that jurisdiction.

If any part of these terms is found unenforceable, the rest stays in force.
